General Terms and Conditions

The terms that govern your access to and use of Neon Lace services, products and publications.

1. Introduction

1.1 About These Terms. These General Terms and Conditions ("Terms") govern your access to and use of the services, products and publications provided by Neon Lace Ltd ("Neon Lace," "we," "us" or "our"), a company incorporated in England and Wales under company number 16530125.

1.2 Acceptance. By purchasing, subscribing to, accessing or using any Neon Lace service, product or publication, you agree to be bound by these Terms. If you do not agree, you should not use our services.

1.3 Additional Terms. Certain applications are governed by additional terms specific to that engagement. Where additional terms apply, they are identified in the relevant section below. In the event of any conflict between these Terms and any application-specific terms, the application-specific terms prevail to the extent of the conflict.

1.4 Changes to These Terms. We may update these Terms from time to time. Material changes will be communicated to you by email or through our website. Your continued use of our services following notification constitutes acceptance of the updated Terms.

2. Definitions

2.1 Definitions. In these Terms, the following words have the following meanings:

  1. "Applications" means the services, products and publications through which Neon Lace makes its intellectual property available, currently comprising Guest Brief, Intelligence, The Edit and Membership, together with digital products sold through the Studio.
  2. "Content" means all materials, analysis, research, reports, frameworks, publications, briefings, written deliverables and other outputs produced by Neon Lace.
  3. "Customer," "you" or "your" means the individual or organisation accessing or purchasing any Application.
  4. "Intellectual Property" means all intellectual property rights of any kind, including copyright, trade marks (whether registered or unregistered), database rights, design rights, patents, trade secrets, know-how and all applications and rights to apply for any of the foregoing, anywhere in the world.
  5. "Neon Lace IP" means Neon Lace's proprietary frameworks, methodologies, research methodologies, advisory methodologies, operating systems, terminology, models and all Intellectual Property subsisting in them, including but not limited to Women in Motion, Five Domains, Environmental Intelligence, Guest Brief, The Edit and all derivative and future works.
  6. "Deliverable" means any Content produced and delivered to you as part of an Application.

3. About Neon Lace

3.1 What We Do. Neon Lace is an independent intelligence and advisory house. We develop proprietary frameworks, original research and strategic advisory designed to help organisations and individuals make better-informed decisions.

3.2 How Our Services Work. All Applications are applications of Neon Lace IP. Each Application applies our proprietary frameworks and methodologies to a specific context or format. When you engage with any Application, you receive the benefit of a Deliverable or access to Content — you do not acquire any rights in the underlying Neon Lace IP.

4. Intellectual Property

4.1 Ownership. All Neon Lace IP is and remains the exclusive property of Neon Lace. Nothing in these Terms or in any engagement transfers ownership of any Neon Lace IP to you.

4.2 Licence to Deliverables. Where an Application results in a Deliverable provided to you, Neon Lace grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to use that Deliverable for your own internal purposes only, unless broader rights are expressly agreed in writing. You may not reproduce, distribute, publish, adapt, sublicense or commercially exploit any Deliverable without Neon Lace's prior written consent.

4.3 Content Licence. Where an Application provides access to Content (including through Membership or Intelligence publications), you are granted a personal, non-exclusive, non-transferable right to access and read that Content for your own use. You may not reproduce, redistribute, forward, republish or create derivative works from any Content without Neon Lace's prior written consent.

4.4 Reservation of Rights. Neon Lace reserves all rights not expressly granted under these Terms. Without limitation, Neon Lace retains the right to: (i) use its frameworks, methodologies and Neon Lace IP across all current and future Applications and industries; (ii) anonymise insights derived from any engagement and use them in future research, publications and advisory work; and (iii) develop and apply its Neon Lace IP without restriction.

4.5 Feedback. Any feedback, suggestions or ideas you provide to Neon Lace in connection with any Application may be used by Neon Lace without restriction or obligation to you.

4.6 Trade Marks. The names, logos, trade marks and service marks displayed in connection with Neon Lace and its Applications are the property of Neon Lace. You may not use them without our prior written consent.

5. Applications

Guest Brief

5.1 Description. Guest Brief is a bespoke advisory engagement in which Neon Lace applies its proprietary frameworks to a specific organisation's environment or business challenge and delivers tailored strategic recommendations in the form of a written Guest Brief. Neon Lace produces Guest Briefs under two engagement models: (i) under the reactive model, an organisation commissions research following a Discovery Call; and (ii) under the proactive model, Neon Lace independently identifies an organisation as a research subject, conducts research at its own initiative and offers the resulting brief to the organisation on completion. In both cases, the engagement is governed by the B2B Guest Brief Agreement.

5.2 Governing Terms. Guest Brief engagements are governed by a separate B2B Guest Brief Agreement entered into between Neon Lace and the commissioning organisation. These Terms apply to Guest Brief engagements to the extent they are not inconsistent with the B2B Guest Brief Agreement.

Intelligence

5.3 Description. Intelligence consists of original research, market intelligence, trend analysis, industry briefings and strategic interpretation produced by Neon Lace for a broader audience. Intelligence may take the form of market intelligence reports, research articles, newsletters, premium briefings and other intelligence products.

5.4 Access and Use. Intelligence publications and products may be made available through subscription, one-off purchase or free access, as specified at the point of publication. Access is personal and non-transferable unless expressly stated otherwise. You may not redistribute, forward, republish or reproduce any Intelligence Content without Neon Lace's prior written consent.

5.5 Nature of Content. Intelligence publications reflect Neon Lace's independent analysis and interpretation. They are produced for general informational and strategic purposes and do not constitute personalised advice to any individual reader or organisation.

The Edit

5.6 Description. The Edit is a personal consultancy engagement in which Neon Lace applies its proprietary frameworks to help individual clients make better-informed decisions. Each session is a distinct, standalone engagement.

5.7 Governing Terms. The Edit is governed by the Terms of Engagement for The Edit, which are provided to and accepted by the client before the engagement commences. These Terms apply to The Edit to the extent they are not inconsistent with the Terms of Engagement for The Edit. In the event of conflict, the Terms of Engagement for The Edit prevail.

Membership

5.8 Description. Membership provides access to curated Content, community features and other benefits as described for each membership tier. Membership tiers are published on the Neon Lace website and may be updated from time to time.

5.9 Billing and Subscription. Membership is billed monthly or annually in advance via Stripe. Your subscription renews automatically at the end of each billing period unless cancelled in accordance with Section 5.10 below.

5.10 Cancellation. You may cancel your membership at any time. Cancellation takes effect at the end of your current paid billing period. You will retain access to membership Content and features until that date. No refund is given for any portion of a billing period already paid.

5.11 Cooling-Off Period. If you are a consumer, you have the right to cancel your membership within 14 days of the date of purchase without giving a reason, in accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise this right, contact us at editor@neon-lace.com within the 14-day period. If you have accessed membership Content during the cooling-off period, you may be charged a proportionate amount for the access received.

Digital Products (Studio)

5.12 Description. Neon Lace makes digital products available for purchase through the Studio. These include downloadable publications, guides, frameworks and similar digital Content.

5.13 Delivery and Access. Digital products are delivered electronically following purchase.

5.14 Cancellation Rights and Consent to Immediate Access. By purchasing a digital product, you consent to immediate access to the product and acknowledge that you lose your right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 once the download or access has commenced. Digital products are non-refundable once accessed.

6. Payment

6.1 Pricing. Prices for each Application are published on the Neon Lace website or communicated to you in writing prior to purchase. All prices are stated in pounds sterling unless otherwise indicated and are inclusive of VAT where applicable.

6.2 Payment Processing. Payments are processed via Stripe. By making a payment, you agree to Stripe's terms of service. Neon Lace does not store your payment card details.

6.3 Non-Payment. If any payment is overdue, Neon Lace may suspend or restrict your access to the relevant Application until payment is received. Neon Lace reserves the right to charge interest on overdue amounts at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998 for B2B engagements, or at 2% above the Bank of England base rate for consumer transactions.

6.4 Price Changes. Neon Lace may change its prices at any time. Price changes for subscription services take effect from the start of the next billing period following notice. Existing paid periods are not affected.

7. Your Obligations

7.1 Accurate Information. You agree to provide accurate and complete information when purchasing, subscribing to or engaging with any Application.

7.2 Acceptable Use. You agree not to: (i) use any Application, Content or Deliverable for any unlawful purpose; (ii) reproduce, redistribute, sublicense, sell or commercially exploit any Content or Deliverable except as expressly permitted; (iii) misrepresent your relationship with Neon Lace or imply endorsement; (iv) attempt to reverse-engineer, extract or replicate any Neon Lace IP; or (v) share login credentials or access rights with any third party.

7.3 Consequences of Breach. If you breach any of these obligations, Neon Lace may immediately suspend or terminate your access to the relevant Application and pursue any available legal remedy.

8. Limitation of Liability

8.1 Cap on Liability. To the maximum extent permitted by law, Neon Lace's total aggregate liability to you in connection with any Application, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total fees paid by you to Neon Lace for the relevant Application in the 12 months immediately preceding the event giving rise to the claim.

8.2 Exclusion of Indirect Loss. To the maximum extent permitted by law, Neon Lace shall not be liable for any: (i) loss of profits, revenue, business, anticipated savings or goodwill; (ii) loss of data or corruption of data; (iii) loss of opportunity; or (iv) any indirect, special or consequential loss or damage, however arising and whether or not foreseeable.

8.3 No Exclusion of Non-Excludable Liability. Nothing in these Terms excludes or limits Neon Lace's liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable law.

8.4 Nature of Services. Neon Lace provides intelligence, research and advisory services. While we take care to produce accurate and well-reasoned analysis, our Content and Deliverables reflect our interpretation and judgment. They do not constitute guarantees of any particular outcome, and decisions made on the basis of our work are your own responsibility.

9. Confidentiality

9.1 Obligations. Each party agrees to keep confidential any information received from the other party that is identified as confidential or that would reasonably be understood to be confidential, and to use such information only for the purposes of the relevant engagement.

9.2 Exceptions. Confidentiality obligations do not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was already known to the receiving party without restriction; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is required to be disclosed by law, regulation or court order.

9.3 Neon Lace's Use of Insights. For the avoidance of doubt, Neon Lace retains the right to anonymise and aggregate insights, trends and learnings derived from any engagement and to use such anonymised material in its research, publications, frameworks and advisory work without restriction or attribution.

10. Data Protection

10.1 Privacy Policy. Neon Lace processes personal data in accordance with its Privacy Policy. By using any Application, you acknowledge that you have read and understood the Privacy Policy.

10.2 Data Processing. Details of the personal data we collect, the lawful bases on which we process it, how long we retain it, and your rights as a data subject are set out in the Privacy Policy.

11. Use of AI

11.1 AI as a Production Tool. Neon Lace uses artificial intelligence tools as part of its research, content production and operational workflow. AI tools are used to assist with tasks such as organising research, structuring analysis and preparing editorial content. All client deliverables, published content and advisory outputs are subject to human-led final review, factual verification and approval by Neon Lace before delivery or publication.

11.2 No Autonomous Decision-Making. AI tools are not given autonomous decision-making authority over the substance of any Deliverable or Content. The analysis, interpretation and strategic judgment in Neon Lace's work are human-led.

11.3 Further Information. Full details of how Neon Lace uses AI, including editorial standards, safeguards and model training opt-out commitments, are set out on our AI Transparency page.

12. Termination

12.1 Termination by You. You may stop using any Application at any time, subject to the cancellation and refund provisions applicable to that Application as set out in these Terms or in any application-specific terms.

12.2 Termination by Neon Lace. Neon Lace may suspend or terminate your access to any Application immediately if: (i) you breach any material provision of these Terms; (ii) you fail to make any payment when due; or (iii) Neon Lace reasonably believes your continued access poses a risk to its business, reputation or Intellectual Property.

12.3 Effect of Termination. On termination: (i) your right to access the relevant Application and any associated Content ceases immediately, except where a paid period has not yet expired, in which case access continues until expiry of that period; (ii) the licence granted to you in respect of any Deliverable already paid for and delivered survives termination; and (iii) Sections 4 (Intellectual Property), 8 (Limitation of Liability), 9 (Confidentiality) and 14 (Governing Law and Jurisdiction) survive termination.

13. General

13.1 Entire Agreement. These Terms, together with any application-specific terms referenced herein, constitute the entire agreement between you and Neon Lace in relation to the relevant Application and supersede all prior agreements, representations and understandings.

13.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

13.3 Waiver. A failure or delay by Neon Lace in exercising any right under these Terms does not constitute a waiver of that right.

13.4 Assignment. You may not assign, transfer or subcontract any of your rights or obligations under these Terms without Neon Lace's prior written consent. Neon Lace may assign or transfer its rights and obligations under these Terms without your consent, including in connection with a reorganisation, merger, sale or transfer of assets.

13.5 Force Majeure. Neon Lace shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, pandemic, fire, flood, government action, internet or telecommunications failure, or third-party service provider outage.

13.6 Third Party Rights. No person other than a party to these Terms shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.

13.7 Notices. Any notices given under these Terms shall be in writing and sent to: (i) Neon Lace at editor@neon-lace.com; or (ii) you, at the email address associated with your account or provided at the time of purchase.

14. Governing Law and Jurisdiction

14.1 Governing Law. These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

14.2 Jurisdiction. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
